Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and Lu Yang, operating ToolUp (“we”, “us”, “our”) governing your access to and use of QuickQR at https://toolupgo.com/qr (the “Service”).
By accessing or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.
1. The Service
QuickQR provides a free, browser-based tool to generate static QR codes locally on your device. In the current version (v0.1):
- No user account or registration is required.
- QR payload data is processed locally and is not uploaded to our servers.
- Paid “Pro” features may be shown as “Coming Soon” without checkout.
- The Service may display third-party advertisements subject to our Cookie Policy.
We may modify, suspend, or discontinue any part of the Service at any time. Where practicable, we will provide reasonable notice of material changes.
2. Eligibility
You must be at least the age of digital consent in your jurisdiction (typically 16 in the EEA/UK, or 13 in the US with parental consent where required) and able to form a binding contract. The Service is not directed at children as described in our Privacy Policy. You may not use the Service where prohibited by applicable law or export control rules.
3. Acceptable use
You agree not to:
- Use the Service for unlawful, fraudulent, harmful, harassing, or deceptive purposes.
- Encode or distribute QR content that infringes intellectual property, privacy, or other rights; contains malware; or violates applicable law.
- Attempt to disrupt, overload, scrape, or reverse engineer the Service except as expressly permitted by mandatory law.
- Circumvent security, rate limits, bot protection (including Cloudflare Turnstile), or access controls.
- Misrepresent your affiliation with ToolUp or QuickQR.
We may investigate violations and cooperate with law enforcement where required.
4. Your content and QR codes
You are solely responsible for the information you encode in QR codes and for how you publish, print, or distribute generated images or SVG files.
Because QR content remains on your device, we do not review it. We make no warranty that any QR code will scan correctly on every device, app, printer, or surface. You should follow in-app guidance on contrast, logo size, error correction, and quiet zones.
5. Intellectual property
- The Service, including its software, design, branding, and documentation, is owned by us or our licensors and protected by intellectual property laws.
- Open-source or third-party components may be subject to separate licenses (see footer Attributions when published).
- Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for personal or internal business purposes.
You may not use our trademarks without prior written consent.
6. Feedback
If you submit suggestions or bug reports via Feedback, you grant us a perpetual, worldwide, royalty-free license to use that feedback to improve the Service without obligation to you. Personal data in feedback is handled under our Privacy Policy.
7. Third-party services
The Service integrates third-party services (including Cloudflare and Google AdSense). Your use of those services may be subject to their terms and privacy policies. Links to third-party sites do not imply endorsement.
8. Disclaimers
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, secure, or free of harmful components, or that QR output will meet your requirements.
Consumer rights: Nothing in these Terms excludes or limits warranties or rights that cannot be excluded or limited under mandatory consumer protection laws in your country of residence (including EEA/UK consumer rights).
9. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NEITHER WE NOR OUR SUPPLIERS, OFFICERS, OR AFFILIATES SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) USD 100 OR (B) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY (WHICH IS ZERO FOR FREE USE IN v0.1).
Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the maximum extent permitted by law.
10. Indemnity
You will defend, indemnify, and hold harmless us and our affiliates from claims, damages, losses, and expenses (including reasonable legal fees) arising from your misuse of the Service, your QR content, or your breach of these Terms, to the extent permitted by applicable law.
11. Suspension and termination
We may suspend or terminate your access to the Service immediately if you violate these Terms or if we discontinue the Service. Provisions that by their nature should survive (including disclaimers, limitation of liability, indemnity, and governing law) will survive termination.
12. Governing law and disputes
These Terms are governed by the laws of England and Wales, without regard to conflict-of-law principles, except where mandatory consumer protection laws in your country of residence require otherwise.
Subject to mandatory consumer rights, the courts of England and Wales shall have exclusive jurisdiction over disputes arising from these Terms. If you are a consumer in the EEA or UK, you may also bring proceedings in the courts of your country of residence where required by law.

13. General
- Entire agreement: These Terms and the Privacy Policy constitute the entire agreement regarding the Service.
- Severability: If any provision is unenforceable, the remainder stays in effect.
- No waiver: Failure to enforce a provision is not a waiver of future enforcement.
- Assignment: You may not assign these Terms without our consent; we may assign them in connection with a merger or sale.
- Language: These Terms are in English. Translations are for convenience only; the English version controls where permitted by law.
